Agreement

These Terms of Use ("Agreement") govern your access to and use of the ProductivRN platform and website operated by Harrelson Software Group LLC ("Harrelson", "we", "us"). By accessing or using ProductivRN, you agree to be bound by this Agreement. If you do not agree, do not use the platform.

This Agreement applies to all users, including employees and contractors of healthcare organizations that have contracted with Harrelson for access to ProductivRN ("Client Organizations").

The Platform

ProductivRN is a healthcare operations platform that enables charge nurses and nurse leaders to document staffing, track patient acuity, manage escalations, and support Joint Commission compliance. Access to the platform is granted through your employing Client Organization.

Authorized Use

You agree to use ProductivRN only for lawful purposes in connection with your role at your healthcare organization. You agree not to:

• Share your login credentials with any other person
• Attempt to access accounts, data, or systems you are not authorized to access
• Reverse engineer, copy, or redistribute any part of the platform
• Use the platform in any way that violates applicable law, including HIPAA
• Submit false, inaccurate, or misleading data

HIPAA & Protected Health Information

ProductivRN is designed to be used in HIPAA-compliant healthcare environments. Harrelson enters into Business Associate Agreements (BAA) with Client Organizations as required under HIPAA. Data entered into the platform by users of a Client Organization is processed by Harrelson in accordance with the applicable BAA.

Users are responsible for using the platform in accordance with their organization's HIPAA policies and procedures. Do not enter patient names, medical record numbers, diagnoses, or other individually identifiable health information beyond what your organization's BAA and policies permit.

SMS Messaging

ProductivRN may send SMS notifications to authorized users for escalation alerts and staffing events. By enabling SMS notifications in your profile, you consent to receive these messages.

• Frequency: One message per triggering event. Adjustable in your Notification Settings.
• Rates: Message and data rates may apply.
• Opt-out: Text STOP at any time, or disable notifications in your profile settings.
• Help: Text HELP or email support@productivern.com.
• Carriers: Wireless carriers are not liable for delayed or undelivered messages.

Intellectual Property

All rights, title, and interest in ProductivRN — including its software, design, trademarks, and content — are owned by Harrelson Software Group LLC. Nothing in this Agreement grants you any ownership interest in the platform. You may not reproduce, distribute, or create derivative works from any part of the platform without written permission from Harrelson.

Confidentiality

You agree to keep confidential any non-public information about the ProductivRN platform, including pricing, features, and technical details, that you access in the course of using the service.

No Warranties

ProductivRN is provided on an "as is" and "as available" basis. Harrelson makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or uninterrupted availability. We do not warrant that the platform will be error-free or that defects will be corrected.

Limitation of Liability

To the maximum extent permitted by law, Harrelson and its officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of ProductivRN. In no event shall Harrelson's total liability to you exceed the fees paid by your Client Organization for the service in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Harrelson and its officers, employees, and agents from any claims, losses, or expenses (including reasonable legal fees) arising from your use of the platform in violation of this Agreement or applicable law.

Governing Law

This Agreement is governed by the laws of the State of Texas, without regard to conflicts of law principles. Any dispute arising from this Agreement shall be brought exclusively before the United States District Court for the Northern District of Texas, and you consent to the jurisdiction of such court.

Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Harrelson's failure to enforce any right or provision of this Agreement does not constitute a waiver of that right or provision.

Changes to These Terms

Harrelson reserves the right to update these Terms at any time. The "Last Updated" date at the top of this page reflects the most recent revision. Continued use of the platform after changes are posted constitutes acceptance of the updated terms.
